1. Agreement to Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and CMODA Solutions Private Limited ("CMODA", "we", "us", or "our"), governing your access to and use of the CMODA platform, website, and all related services (collectively, the "Service").
By creating an account or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of Service
CMODA provides an AI-powered brand intelligence platform that includes:
- AI-driven image generation and content creation
- Social media post scheduling and publishing to Facebook and Instagram
- Brand analysis and marketing material generation
- Team collaboration and multi-user management
- Company and service catalogue management
The Service leverages third-party AI technologies and social media APIs to deliver these features.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.
If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
4. Account Registration
- You must provide accurate, complete, and current information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
5. Use of AI-Generated Content
5.1 Content Generation
Our Service uses artificial intelligence to generate images, text, captions, and other creative materials. You understand that:
- AI-generated content is created algorithmically and may not always be perfect or accurate.
- You are responsible for reviewing all AI-generated content before publishing or using it.
- AI outputs may occasionally produce unexpected, inappropriate, or inaccurate results.
5.2 Content Ownership
- You retain ownership of all content you upload to the Service (images, text, brand assets).
- AI-generated content created through the Service may be used by you for commercial purposes.
- You grant CMODA a limited license to process and store your content solely for the purpose of providing the Service.
- We do not claim ownership over your uploaded or AI-generated content.
5.3 Content Responsibility
You are solely responsible for all content you publish through the Service, including AI-generated content. You must ensure that published content does not violate any laws, infringe on third-party rights, or breach the terms of the social media platforms you post to.
6. Social Media Integration
When you connect your Facebook or Instagram accounts to the Service:
- You authorize CMODA to access your social media accounts as permitted by the respective platforms.
- You are responsible for compliance with Facebook's and Instagram's terms of service.
- CMODA will only publish content that you explicitly create, approve, or schedule.
- You may disconnect your social media accounts at any time through the Service settings or through the respective platform's app settings.
- CMODA is not liable for any actions taken by social media platforms regarding your account or content.
7. Acceptable Use
You agree NOT to use the Service to:
- Generate, publish, or distribute illegal, harmful, threatening, abusive, or hateful content
- Create content that infringes on intellectual property rights of others
- Spam, send unsolicited messages, or engage in deceptive marketing practices
- Attempt to gain unauthorized access to the Service or other users' accounts
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service to compete with CMODA or create a similar product
- Violate any applicable local, state, national, or international law
- Generate deepfake content, misleading imagery, or content intended to deceive
8. Subscription and Payment
- Certain features of the Service may require a paid subscription.
- Subscription fees are billed in advance on a recurring basis (monthly or annually).
- All fees are non-refundable unless otherwise stated or required by law.
- We reserve the right to modify pricing with reasonable notice.
- Failure to pay may result in suspension or termination of your account.
9. Intellectual Property
- The Service, including its design, features, code, and branding, is owned by CMODA Solutions Private Limited and protected by intellectual property laws.
- The CMODA name, logo, and all related trademarks are the property of CMODA Solutions Private Limited.
- You may not use our trademarks without prior written consent.
- Third-party trademarks, logos, and brand names mentioned in the Service belong to their respective owners.
10. Third-Party Services
The Service integrates with and relies on third-party services including but not limited to:
- Google Gemini: For AI image and text generation
- Facebook/Meta Graph API: For social media publishing
- Instagram API: For Instagram content publishing
We are not responsible for the availability, accuracy, or policies of third-party services. Changes to third-party APIs or terms may affect the functionality of our Service.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
- CMODA shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- CMODA shall not be liable for any loss of data, revenue, or business opportunities.
- CMODA's total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
- CMODA is not liable for content published to your social media accounts through the Service.
12. Indemnification
You agree to indemnify and hold harmless CMODA, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Service
- Content you generate, upload, or publish through the Service
- Your violation of these Terms
- Your violation of any third-party rights
13. Termination
- You may terminate your account at any time by contacting us.
- We may suspend or terminate your account if you violate these Terms.
- Upon termination, your right to use the Service ceases immediately.
- We may retain certain data as required by law or for legitimate business purposes.
- Sections relating to intellectual property, limitation of liability, and indemnification survive termination.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in India.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
